Terms and Conditions
Effective Date: September 1, 2026
Welcome to Memory Tree. These Terms and Conditions ("Terms") govern your access to and use of the Memory Tree website, application, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, please do not use the Services.
1. About Memory Tree
Memory Tree is a service designed to help individuals, families, caregivers, and care organizations share meaningful photos, videos, stories, and personalized audio cues with people experiencing memory loss or dementia. Our goal is to support connection, engagement, and the enjoyment of cherished memories.
Memory Tree is operated by Memory Tree, LLC, located at 1943 East 70th Street, Shreveport, Louisiana 71105. References to "Memory Tree," "we," "us," and "our" refer to this company.
2. Eligibility and Authorized Use
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account or enter into an agreement for the Services. If you use Memory Tree on behalf of another person, you represent that you have the legal authority and any necessary permissions to do so.
Caregivers, family members, and organizations are responsible for ensuring that their use of the Services respects the rights, preferences, dignity, and privacy of the individuals they support. A diagnosis of dementia or memory loss does not, by itself, establish that another person has authority to make decisions on that individual's behalf.
3. Accounts and Security
You agree to provide accurate information when creating an account and to keep your login credentials confidential. You are responsible for activity conducted through your account and for promptly notifying us of any suspected unauthorized access.
You may not share account access with unauthorized individuals, impersonate another person, or use the Services in a manner that compromises the security or privacy of others.
4. Photos, Videos, and User Content
You retain ownership of the photos, videos, audio recordings, captions, tags, and other materials you upload or submit ("User Content"). You grant Memory Tree a limited, nonexclusive license to host, store, process, reproduce, and display User Content solely as necessary to provide, maintain, and improve the Services in accordance with these Terms and our Privacy Policy.
You represent that you have the rights and permissions necessary to upload and share User Content, including appropriate consent from individuals depicted or recorded when required by law. You agree not to upload content that is unlawful, infringing, abusive, exploitative, or that violates another person's privacy or rights.
Memory Tree does not claim ownership of your personal memories and does not obtain permission to use your User Content in public advertising or promotional materials merely because you upload it. Any such use requires separate authorization.
5. Consent and Sensitive Information
The Services may involve personal information about individuals receiving care, including information that could reveal or suggest a health condition. Users must obtain all legally required consents and authorizations before collecting, uploading, or sharing such information.
If an individual cannot provide legally valid consent, the person acting on their behalf must have appropriate legal authority. Users should also respect the individual's expressed wishes and preferences to the extent possible.
Care organizations are responsible for their own compliance with applicable privacy, confidentiality, professional, and healthcare requirements. Where required, Memory Tree and an organization may need to enter into a separate written agreement governing the handling of protected or sensitive information.
6. Privacy and Data Protection
Our collection, use, retention, and disclosure of personal information are described in our Privacy Policy, available at [Privacy Policy URL]. By using the Services, you acknowledge that you have reviewed that policy.
We use reasonable administrative, technical, and organizational safeguards appropriate to the information we handle. However, no internet-based service can guarantee absolute security. Users should avoid uploading information that is unnecessary for the intended purpose and should use available privacy and access controls.
7. Intended Purpose and Medical Disclaimer
Memory Tree is intended to support personal connection, reminiscence, and meaningful engagement. It is not a medical device, medical treatment, diagnostic tool, or substitute for professional healthcare unless expressly stated otherwise in separately approved documentation.
We do not guarantee that use of the Services will improve memory, reduce symptoms, prevent cognitive decline, or produce any particular medical or therapeutic outcome. Individual experiences may vary. Consult qualified healthcare professionals regarding medical care, treatment, and therapeutic decisions.
8. Care Organizations and Professional Users
Memory care communities, long-term care facilities, caregiver services, and other professional users are responsible for supervising their personnel, obtaining appropriate permissions, and determining whether the Services are suitable for their residents or clients.
Organizations must ensure that authorized users receive appropriate training and that access is limited to individuals with a legitimate need. Any separate subscription, service, or business agreement between Memory Tree and an organization will control in the event of a conflict with these Terms.
9. Acceptable Use
You agree not to misuse the Services, attempt unauthorized access, introduce malicious software, interfere with system operations, scrape or copy the platform without permission, or use the Services for unlawful purposes. You may not use another person's content or information for commercial purposes without the necessary authorization.
We reserve the right to investigate suspected misuse and suspend or terminate access when reasonably necessary to protect users, comply with the law, or maintain the integrity of the Services.
10. Fees, Subscriptions, and Cancellation
Certain Services may require payment or a subscription. Applicable pricing, billing frequency, renewal terms, cancellation procedures, and refund policies will be disclosed before purchase or in a separate service agreement.
11. Intellectual Property
The Memory Tree name, logo, website design, software, trademarks, and other proprietary materials are owned by Memory Tree or its licensors and are protected by applicable intellectual property laws. Except for the limited right to use the Services, no ownership or license is granted without our written permission.
12. Service Availability and Changes
We may update, modify, or discontinue features from time to time. We will make reasonable efforts to provide notice of material changes when appropriate. We do not guarantee uninterrupted or error-free availability, and access may occasionally be affected by maintenance, technical issues, or circumstances beyond our control.
13. Termination and Content Requests
You may stop using the Services at any time and may request account closure or deletion of personal information by contacting info@idea-path.com. Requests will be handled in accordance with our Privacy Policy, applicable law, and any contractual retention obligations.
We may suspend or terminate access for material violations of these Terms, unlawful activity, or circumstances that create a significant security or privacy risk. Where reasonably practicable, we will provide notice and an opportunity to resolve the issue.
14. Third-Party Services
The Services may contain links to third-party websites or integrate with third-party providers. We are not responsible for the content, availability, or privacy practices of independent third parties. Your use of those services may be subject to their separate terms and policies.
15. Disclaimer of Warranties
To the extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. Memory Tree disclaims warranties that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and noninfringement. Nothing in this section limits rights that cannot legally be waived.
16. Limitation of Liability
To the extent permitted by applicable law, Memory Tree will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Services. Any limitation on direct damages, applicable liability cap, and exceptions will be determined by the governing law and any applicable service agreement.
Nothing in these Terms excludes or limits liability where doing so would be prohibited by law.
17. Indemnification
To the extent permitted by law, you agree to indemnify and hold Memory Tree harmless from third-party claims arising from your unlawful use of the Services, your violation of these Terms, or your infringement of another person's rights, except to the extent caused by Memory Tree's own misconduct or legal responsibility.
18. Governing Law and Disputes
These Terms will be governed by the laws of Louisiana, without regard to conflict-of-law principles, except where applicable consumer protection laws require otherwise. Any disputes will be resolved in the courts located in Caddo Parish, Louisiana, unless a separate written agreement or applicable law provides otherwise.
19. Changes to These Terms
We may revise these Terms periodically. The updated version will be posted on this page with a revised effective date. We will provide additional notice of material changes when required by law. Continued use of the Services after the effective date of revised Terms constitutes acceptance to the extent permitted by law.
